OmniPCX Enterprise Problem with upgrade from R10.1 to R12.0

Hi all,
I want upgrade from R10.1 to R12.0
please help me understanding if I'm getting fooled by our local alcatel partner, because this is how I feel right now.
I asked for upgrade from R10.1 to R12.0 for 625 user, and so I was offered:
1.OmniPCX Enterprise major software upgrade - 1 user ( 3BA09835JA ) . Qty : 625 .
2.Alcatel-Lucent OmniPCX Enterprise R12.0 software license ( 3BA09914JA) Qty : 1
Can this answer be reasonably true?

What is wrong? Or what do you think is not ok?
